Let us translate the Kelli Todd "admission of
guilt letter" for you. Kelli Todd basically states, as she was
closing the Remax company doors, that she was wrong taking the All Cities Realty
mark and had bad advice. Kelli Todd effectively says "I, as the
CEO, didn't know how trademarks work", that no one ever told
her and the whole thing is every one else's fault but her own. To
console you though - she is sorry (does that make you feel better?).
She states in the end she should have consulted counsel (but she did
consult counsel and that counsel has a different story than she has)
Kelli attempts to belittle All Cities Realty®
but naturally does not tell the whole story about the 1,000,000 people
that travel in front of our office each year, our million hit Internet presence,
business model, that our office was larger than several of hers, and the
simple fact, using her lawyers, attempted to bankrupt us, completely
stifling the business dealings of ACR, Inc. in the 8 year fight. Her
strategy eventually backfired and only her and her lawyer came out
on top. Everybody else associated with her LOST in the battle... over
1,000 people including the agents and brokers. Note that Kelli Todd and Bob Todd, had 30 years with Remax, and had at least different 15 Remax offices. Remax has a 100 page trademark manual (that she had to read every time she renewed a franchise - maybe 50 times total) and that manual could not be more clear about the Remax mark, and infringing on other trademarks. ALL agents, brokers, and franchisees must read the trademark manual and educate themselves on trademarks. All agents and brokers are independent contractors and responsible for their own actions and are notified of these issues when joining and departing Remax. See Remax Trademark Manual and de-identification guidelines. As an independent contractor a person MUST know the law - they are an independent business owner and responsible for the consequences of their actions. All Cities Realty ® informed all the agents and associated parties in every conceivable way unsuccessfully attempting to advise the agents - using the mark was illegal and because of each agents use ACR was being damaged. The fact is that ACR could not have been damaged by Kelli Todd alone - the agents, brokers, and others had to participate in the illicit use of the name for the seizure to be successful. ACR has been irreversibly damaged as a result of everyone's actions..Notably, Ms. Todd puts the blame on us - for the agents being involved. That is laughable. The facts are: for YEARS, we informed Ms. Todd (and the agents and brokers who worked for her) that the use of the name was illegal and did what we could to alert everyone. Kelli Todd simply ignored us (and her attorneys) telling everyone to simply keep using the mark (and they did) as lawsuit costs escalated and irreversible damage was inflicted upon ACR. While you are involved the blame lies squarely on Kelli Todd's shoulders, and we would add ALL the people who surrounded her. We also warned the agents, and we could not have tried harder to impress upon everyone, that using the All Cities Realty trademark was both wrong and illegal. It was Kelli Todd that wanted the name, and all those promised indemnifications - WORTHLESS. Note that we attempted, in every conceivable way possible, to warn the agents and brokers and that using the All Cities Realty® Trademark was illegal. This website, emails, the state complaint etc. Kelli Todd and Holly Thomas also made you very aware of the issues with email, office documents, and other memorandum. You need to know the whole, behind the scenes, story here: Kelli Todd paid herself about $28,000 per month and paid her kids about $10,000 per month (about $2,280,000 as an estimate of the total over 5 years, plus who knows what else) during the time she was fending us off in court for 5 years. She raised Holly Thomas' salary to almost double during that time and effectively was taking $500,000 a year out of the company while she was fighting us (most likely knowing a BK was in the future as the Trademark lawsuit for her was a looser). She took it all (paid her salary and did not pay others), and left you with nothing and no indemnification. Its all in black and while - read the BK schedules. Where did all that money go? Where was Holly Thomas, the lawyer, who should have known about the Trademark manual and trademark guidelines during all this? - Right at Kelli Todd's side with her big salary. Don't forget it was Holly Thomas who kept telling you it was all okay.. soothing your feelings... while Remax was burning and being looted by its own inner circle. You probably don't know this, but a "well planned" bankruptcy, planned well in advance (wink wink), is simply a business tactic that if done properly, gets ride of debt and lets you keep all the money! In the end Kelli Todd is legally untouchable but her personal co-conspirators may not be. Give that a thought. Unfortunately this is far from over, now that Kelli Todd is out of the way... its just starting! |

1. The name of our company is ALL CITIES REALTY, Inc. We do business using the trademark ALL CITIES REALTY. We are suing Re/Max because they will not cease using the name ALL CITIES REALTY. A recent newspaper article in the Daily News makes many mis-statements and inaccurately reports on this current legal action.
2. This legal action does not involve Re/Max International, the franchisor. This is an action filed against an independently owned Re/Max franchise operated by CF Real Estate Loans, Inc. who is now using the name Re/Max ALL CITIES REALTY.
3. We believe that our federal trademark, our trade name, our corporate name are "protected by law" whether some company amends a "Re/Max" to the front of them or not. So whether they use ALL CITIES REALTY, or Re/Max ALL CITIES REALTY they are still infringing on our name. Whether its RE/MAX ALL CITIES REALTY or ALL CITIES REALTY they are using, it is without any doubt, confusing. This is the EXACT reason people and companies protect their names.
4. We do business in ALL Southern California from Santa Barbara to the Mexican border. We are expanding and currently advertising in 200 papers statewide. We have advertised Globally for 10 years and have had customers from all parts of the USA and different countries.
All Federal Trademark owners should be watching this case very closely. Can you imagine what this would do to Trademark Law? No name would be protected from these mammoth predators. However MOST companies would NEVER act like CF Real Estate Loans, Inc., the Defendant in this case.
